No. RMG 86/2026 15 October 2026 Subject: The Lease Agreement has expired, the tenant has failed to return the property, and the trust has filed a lawsuit against the tenant To: President Stock Exchange of Thailand Whereas Grande Hospitality Real Estate Investment Trust (the "Trust") have leased Sheraton Huahin Resort and Spa Hotel Project to Honor Business Company Limited (the "Lessee") according to the Lease Agreement for movable and immovable property of Sheraton Huahin Resort and Spa Hotel Project (the "Asset") between the Trust represented by Bualuang Asset Management Company Limited as the Trustee of the Trust and the Lessee, including the memorandum of agreement regarding the exercise of the right to renew the lease agreement (the first and second renewals, collectively referred to as the "Lease Agreement" which specify an expiration date of October 11, 2026. Bualuang Asset Management Company Limited ("BBLAM") as the Trustee of the Trust have sent a formal letter dated September 11, 2026 to the Managing Director of Honor Business Company Limited notifying them of the Lease Agreement's expiration date and requesting the handover of the property in accordance with the terms of the agreement. It stated that the Lease Agreement was set to expire on October 11, 2026, the Trust thereby notified the Lessee of the termination of the lease and requested the Lessee to handover the leased property to the Trust, transfer the hotel operating license and any other relevant permits, fulfill all obligations stipulated in the applicable agreements, and settle all outstanding rent including interests as required by the agreements and the law. The Trust had specified the date for the handover of the leased property at the Sheraton Hua Hin Resort & Spa as October 12, 2026, at 10:00 a.m. Should the Lessee fail to comply, the Trust would find it necessary to take such as it deemed appropriate to prevent any further damage to the Trust. However, the Lessee has failed to (a) return the Asset, (b) transfer the hotel business license and other relevant permits, (c) comply with the obligations stipulated in the applicable agreements, and (d) pay all outstanding rent, including interests as required by the agreements and the law, as specified. One Asset Management Limited as the REIT Manager considered together with Bualuang Asset Management Company Limited as the Trustee of the Trust that it is necessary to take legal action to demand that the Lessee comply with the agreement and protect future damages to the Trust and unitholders. Therefore, the lawyer was appointed to file a lawsuit with Bangkok South Civil Court on October 15, 2026, naming the Lessee as the first defendant and Grande Asset Hotels and Property Public Company Limited, in its capacity as the income guarantor, as the second defendant. The claims include breach of contract, tort, eviction, and a demand for damages. The Trust also filed a petition for temporary injunction requesting the Court to order both Defendants to deposit money with the Court at the rate of THB 11,916,115.08 per month (being the average annual rental rate of the 10th lease year in the event of lease renewal) as security for damages caused to the REIT, effective from the date of the Court's order until the case becomes final or the Court orders otherwise.
