1&1 Increases Share Capital by 20% Via Share Issue to United Internet

12:25 AM EDT, 10/06/2026 (MT Newswires) -- 1&1 AG (1U1.F) will increase its share capital by 20% by issuing 35,352,929 new shares to majority shareholder, United Internet (UTDI.F), at 24.05 euros per share, excluding shareholders' subscription rights. German internet services company United Internet will make an in-kind contribution of loan repayment claims against 1&1 Versatel, a wholly owned indirect subsidiary of 1&1, with a nominal value of 850.2 million euros, according to a Monday release. 1&1 said the capital increase will strengthen its capital structure, raise its equity ratio, and give it financial flexibility for network expansion. Once it takes effect, the company's share capital will be 233.3 million euros, divided into 212,117,578 no-par value bearer shares, while United Internet's stake will increase to 89.32% from 87.19%.
