Huayan Robotics (01021) plans to buy back no more than 200 million yuan of H shares

According to the Zhitong Finance App, Huayan Robot (01021) announced that the company will implement a repurchase plan for the company's H shares to exercise the general authorization granted by shareholders to the board of directors at the 2025 annual shareholders' meeting to be held on June 22, 2026. According to the authorization to repurchase H shares, the company has the right to repurchase no more than 10% of the total number of H shares issued (excluding any treasury shares) on the day the resolution authorizing the repurchase of H shares is passed, that is, no more than 53.9039 million H shares. The authorization to repurchase H shares will expire on the following earlier date: (a) the date the resolution to repurchase H shares expires 12 months after the 2025 annual shareholders' meeting passed a special resolution; (b) at the end of the 2026 annual shareholders' meeting of the company; or (c) the date the shareholders pass a special resolution at any shareholders' meeting of the company to revoke or amend the authorization to repurchase H shares.

According to the H share repurchase plan, the company plans to repurchase H shares on the open market from time to time according to market conditions. The total repurchase amount shall not exceed RMB 200 million. The repurchase period ends until the date the authorization to repurchase H shares expires, unless the total amount to repurchase H shares reaches the above limit or the board of directors or its authorized person decides to terminate the H share repurchase plan early. H shares repurchased under the H Share Repurchase Program will be cancelled. The company plans to use the company's own capital and internal resources to fund the H share repurchase plan while maintaining sufficient financial resources to support the continued growth of its operations. To avoid confusion, none of the above own funds involved the proceeds from the global sale of the company's H shares.
