Erste Group Plans Tender Offer for Up to 26% Additional Stake in Polish Unit

12:13 AM EDT, 09/28/2026 (MT Newswires) -- Erste Group Bank (EBS.VI) intends to launch a voluntary tender offer to acquire another 26% stake in Erste Bank Polska and boost its ownership in the unit to up to 75% from the current 49%. The lender offered 713 Polish zloty per share, according to a Sept. 25 release. The offer is subject to a minimum acceptance condition of at least 50% of EBP's share capital and total voting rights, a free float condition in which at least 25% commit not to tender their shares, and Polish regulatory approval allowing Erste Group to cross the 50% voting threshold. If the free float condition is not met, Erste plans to declare the offer unsuccessful and remain a 49% shareholder. The bank expects to launch the offer in early November, with settlement anticipated in December.
