According to Zhitong Finance App, Caihua News Group (08317) announced that on September 24, 2026, Caihua Finance Co., Ltd. (buyer), an indirect wholly-owned subsidiary of the Company, signed an agreement with Xintai Investment Co., Ltd. (seller) to acquire the property for HK$5.3 million.

The property is Flat A, 11th floor, Hong Kong Island Building, 439-445 Hennessy Road, Hong Kong.

The directors (including independent non-executive directors) believe that the terms of the agreement were reached after fair negotiations, made in accordance with normal commercial terms, are fair and reasonable, and that the acquisition is in line with the overall interests of the Company and shareholders for the following reasons: 1. Excellent strategic location and asset value: Located on Hennessy Road, Wan Chai, the property is one of Hong Kong's most resilient and mature commercial and residential hubs, which can ensure superior asset downside protection. 2. Portfolio expansion and diversification: The acquisition of residential assets is directly in line with the Group's existing strategy to diversify its long-term property portfolio and capture stable capital storage tools. 3. Ideal valuation window and market trends: Current real estate data shows a clear stable trend and has macro-upward potential. Follow this pricing curve to enter the market, providing a rare window of opportunity for long-term equity appreciation. 4. High liquidity and stable income potential: Due to strong demand for residential units in Wan Chai, the property has high leasing capacity and is easy to rent, which can instantly create stable and recurring rental income prospects. 5. Fair negotiation and valuation: The cost is determined after fair negotiation according to normal commercial terms and conditions. It is fair and reasonable because it is highly comparable to the recent transaction price of similar units in the Kashima Building.
