According to the Zhitong Finance App, COFCO Jiajiakang (01610) issued an announcement. On September 24, 2026, it approved (among others) a proposal to merge Zhuomao Limited (a British Virgin Islands commercial company incorporated in the British Virgin Islands and a direct wholly-owned subsidiary of the Company) with the Company and merge it into the Company. The Company will become a surviving company and will continue to exist without interruption as the same legal entity incorporated in the Cayman Islands. Once the merger becomes effective, the merged company will no longer exist as a separate legal entity.

Under the merger, all issued and issued foreign shares of the merged company will be cancelled at zero cost. The Company will not issue any shares or other securities in exchange, and the shares and the rights attached thereto will remain unchanged for the sole purpose of the merger.

As of the date of this announcement, the merger has not yet taken effect.

The merger is an internal reorganization within the Group. The merger will cancel the merged company's separate corporate entity, and the company will directly inherit its assets and liabilities. The agreement does not involve a transfer of business or assets outside of the Group, nor does it alter the Group's ultimate economic interest in such business or assets.

The merger aims to simplify the Group's corporate structure, reduce administrative and corporate maintenance costs associated with maintaining independent subsidiaries, and improve management efficiency.

The directors believe that the terms of the merger are fair and reasonable, and that the merger conforms to the overall interests of the Company and shareholders.
