*ST Tianjian (002977.SZ) controlling shareholders and others terminated the agreement to transfer part of the company's shares

The company recently received notifications from Mr. Lou Jiyong and Mr. Chen Lei, the controlling shareholders of the company and shareholders holding 5% or more of the shares. It learned that Chengdu Junxiang Terry Enterprise Management Center (limited partnership) (“Junxiang Terry”) reached an agreement on terminating the agreement to transfer part of the company's shares, and signed the “Termination Agreement on the Share Transfer Agreement”.

Mr. Lou Jiyong, Mr. Chen Lei and Junxiang Terry signed the “Share Transfer Agreement” on July 26, 2026. Mr. Lou Jiyong and Mr. Chen Lei intend to transfer a total of 17.745 million shares (tradable shares with unlimited conditions of sale) to Junxiang Terry through an agreed transfer agreement, accounting for 14.7727% of the company's total share capital. As of the disclosure date of the announcement, the shares to be transferred by agreement mentioned above have not yet gone through the transfer registration procedure.
