Jiayi Holdings (01025) plans to place up to 378.735 million shares to raise approximately HK$7.25 million in net placement shares

According to Zhitong Finance App, Jiayi Holdings (01025) issued an announcement. On September 1, 2026, the Company entered into a placement agreement with the placement agent. According to this, the Company conditionally agreed to use the placement agent to do its best to place shares at HK$0.20 per share at the placement price to no less than 6 undertakers (third parties that are independent and unrelated to the Company and their respective ultimate beneficial owners). The placement shares will be distributed and issued in accordance with a general mandate and is equivalent to the entire unused portion of the general authorization as of the date of this announcement.

The maximum number of 378.73,500 shares placed under the placement is equivalent to (i) 8.47% of the total number of shares already issued at the date of this announcement; and (ii) approximately 7.81% of the total number of 485 million shares issued as a result of the placement (assuming no other change in the total number of issued shares prior to completion). The total face value of the maximum number of shares to be placed under the placement will be HK$7.5747 million.

The placement price is HK$0.20 per share, which is approximately 0.50% premium over (i) the closing price of the shares reported on the Stock Exchange at the date of the placement agreement; and (ii) the average closing price of the shares reported by the Stock Exchange on the five consecutive trading days immediately before the date of the placement agreement is approximately HK$0.199 per share.

It is anticipated that the total maximum proceeds from the placement will be approximately HK$7.57 million, while the maximum net proceeds from the placement (after deducting commissions, professional fees and other related expenses and expenses due to the placement agent) will be approximately HK$7.25 million, or approximately HK$0.191 per share. The Company intends to use the entire net proceeds from the placement as the Group's general working capital.
