The Zhitong Finance App learned that Jollibee Foods (Jollibee Foods), the parent company of Tianyun, announced that it plans to split its international business and go public in Hong Kong. The spin-off entity is Jollibee Foods Corporation International (JFCI). After the spin-off listing, Happy Bee and JFCI will become two independent listed companies, and existing shareholders will receive JFCI shares according to their shareholding ratio.

Happy Bee said that since the launch of the spin-off plan in early 2026, Happy Bee has completed preliminary preparations in various aspects such as structure, governance, financing, systems and organization to ensure that the Philippine and international sectors can develop independently and flexibly in the future.

Chairman Chen Juezhong of Happy Bee said that Hong Kong is the market that best meets the company's business development, geographical layout and long-term goals. It has an ideal market environment and a high-quality investor base, which helps reflect JFCI's unique business value and growth potential.

The company also announced the appointment of Richard Shin as the CEO of the proposed spin-off entity JFCI. Shin is currently the chief financial and risk officer of Happy Bee and CEO of Happy Bee International. He has 30 years of international finance and business leadership experience spanning the consumer and retail industries, and has held key positions in multinational companies such as William Grant & Sons, Ralph Lauren, Bacardi, and Altria.

Happy Bee Foods, which has already been listed in Manila, the Philippines, is the second multinational company in the Philippines after Shengli Beer. In recent years, Happy Bee has been actively expanding overseas. In addition to Jollibee, which focuses on fried chicken, its brands also have Smashburger, Coffee Bean & Tea Leaf, etc., and its business spans the US, Canada, the Middle East, and Europe. Currently, Jollibee has 24 branches in Hong Kong and has a strong influence in the Philippine community.

According to reports, in order to increase business focus, Happy Bee previously studied splitting its international business into a US listing. Later, in June of this year, it was announced that it plans to go public in Hong Kong. It is expected that the listing plan will be completed by the end of next year as soon as possible.
