Irish Continental Group's Board Warns of Bluefin's Bid Failure; Urges Vote Shift

03:01 AM EDT, 08/20/2026 (MT Newswires) -- The independent board of Irish Continental Group (ICGC.L, IR5B.IR) said Thursday the resolutions to approve Bluefin Bidco's offer for the company could fail based on indicative early proxy votes received from some shareholders. The Irish maritime transport group noted that a significant number of shareholders have not yet cast their votes. However, with the management buyout team unable to vote on certain resolutions, the early proxy votes indicate that the scheme would "likely fail" unless some shareholders change their votes. The board urged shareholders to vote in favor of the scheme, warning that they may not get another opportunity to secure a cash exit at 8 euros per share. The scheme meetings and the extraordinary general meeting to approve Bluefin Bidco's takeover offer are scheduled for Aug. 28.
