Weixin Jinke (02003) terminated the acquisition of BPG up to 100%

According to the Zhitong Finance App, Weixin Jinke (02003) issued an announcement relating to the acquisition of Banco Português de Gestão, S.A., up to 100%. Since the regulatory conditions have not been met as of August 6, 2026 (effective date), the seller and the company have agreed to mutually terminate the sales agreement from the effective date and not continue to sell and buy the seller's shares. Following termination, both the seller and the company were released and exempted from their respective obligations under the sales agreement.

Although the seller and the Company agree that the Company has not breached its obligations, the Company agreed that the seller will retain 80% (80%) (i.e. 800,000 Euros) of the deposit as compensation for the time spent from the date the sale agreement was signed until the date the regulatory conditions were confirmed, and the seller's efforts to enable BPG to operate normally in accordance with previous practices from the date the sale agreement was signed to the effective date, and the failure to implement other commercial alternatives that could have been considered due to the seller's participation in BPG. The seller will pay back 20 percent (20%) of the deposit (i.e. 200,000 Euros) to the Company.

The Board believes that the termination of the sale agreement is not expected to have a significant adverse impact on the Group's operations.
