According to the work plan of the Anhui Provincial State-owned Assets Administration Commission, the strategic restructuring of Hailuo Group and Wanwei Group is progressing at an accelerated pace, and the transfer of 15% of the company's shares held by Wanwei Group has now been completed. After the transfer was completed, the Provincial Investment Group and the Provincial State Control Group each held 7.50% of the company's shares. The sponsor of the company's targeted increase is Huaan Securities. Since the Provincial State Control Group directly holds 24.18% of Huaan Securities's shares and is the controlling shareholder of Huaan Securities, according to the relevant provisions of the “Administrative Measures on Securities Issuance and Listing Sponsorship Business” and “Guidelines for the Application of Regulatory Rules - Institutional Class No. 1”, the controlling shareholder of Huaan Securities holds more than 7% of the company's shares, and Huaan Securities is no longer eligible for this targeted increase by an independent sponsor company.

After full communication and careful judgment with all parties concerned, in order to protect the interests of all shareholders and in conjunction with the authorization of the board of directors at the company's first extraordinary shareholders' meeting in 2026 on matters relating to the issuance of shares to specific targets in 2026, the company decided to terminate the issuance of A-shares to specific targets in 2026, and plans to apply to the Shanghai Stock Exchange to withdraw the relevant application documents.
