An Ning Holdings (00128): Zheng Peimin and Tang Xiayun will be appointed as the company's executive directors

Zhitong Finance App News, Anning Holdings (00128) issued an announcement. Penny Soh Peng CROSBIE-WALSH is aware of the company and has decided to retire, so she proposed to resign as the company's executive director and chief executive officer, effective September 1, 2026. Penny Soh Peng CROSBIE-WALSH decided to retire in order to spend more time on her family and public service.

Ms. Zheng Peimin and Ms. Tang Xiayun will be appointed as the company's executive directors with effect from August 1, 2026.

After reviewing the board committee structure, the board of directors has decided to streamline and optimize its corporate governance structure and abolish the following board committees with effect from August 1, 2026. The Corporate Governance Committee will be abolished from August 1, 2026, and its duties and responsibilities will then be assumed by the Board of Directors. The Investment Committee will be abolished from August 1, 2026, and its duties and responsibilities will be assumed by the Board of Directors thereafter.

As of August 1, 2026, (i) after the abolition of the Corporate Governance Committee, Mr. Zeng Xianfen will no longer serve as Chairman of the Corporate Governance Committee, and Ms. Penny Soh Peng CROSBIE-WALSH will no longer be members of the Corporate Governance Committee; (ii) after the abolition of the Investment Committee, Ms. Penny Soh Peng CROSBIE-WALSH will no longer serve as Chairman of the Investment Committee, and Mr. Wang Honghan and Mr. Zhang Jianrong will no longer serve as the Chairman of the Investment Committee Member of the Investment Committee; (iii) Mr. Zhang Jianrong will resign as Chairman of the Nomination Committee; (iv) Mr. Zeng Xianfen will be appointed as Chairman of the Nomination Committee.

Additionally, Ms. Tang Xiayun will be appointed as the company's authorized representative as stipulated in section 3.05 of the Listing Rules to replace Penny Soh Peng CROSBIE-WALSH with effect from September 1, 2026.
