Gaofeng Group Holdings (02863): The controlling shareholder's placement of existing shares completed

According to Zhitong Finance App, Gaofeng Group Holdings (02863) announced that the placement was completed on July 27, 2026 as notified by the seller, 300,819,000 shares were placed on July 14, 2026, and 34,299,000 shares were placed on July 27, 2026. The placement agent has placed a total of 335,118,000 shares of the currently issued shares to no less than 6 placers in accordance with the terms and conditions of the placement agreement.

Immediately after the placement was completed (completed), Dade Investment & Trading Co., Ltd. no longer holds any shares and is no longer the main shareholder of the Company. Meanwhile, Mr. Gao Junxi, Chairman and Executive Director of the Company, continued to hold 119,595,000 shares of the Company (accounting for approximately 17.34% of the Company's issued share capital) as of this announcement, and is still the main shareholder of the Company.

The Company was further informed that one of the undertakers, Mr. Jiang Xinghao (Mr. Jiang, an independent third party of the Company immediately before the placement was completed), has decided to purchase a total of 95,967,000 shares to be placed, accounting for approximately 13.92% of the total issued share capital of the Company as of the date of this announcement and has become the main shareholder of the Company.
