According to the news, on December 29, SMIC issued an announcement. On December 29, 2025, the company signed a supplementary agreement with the seller regarding the company's intention to acquire 49% of SMIC North's shares. Based on this, the parties have determined the final consideration for the proposed acquisition and the number of consideration shares to be issued. The final consideration was approximately RMB 40.601 billion, and the total number of countervailing shares issued this time was 547,182,073 shares.

According to public information, SMIC North is SMIC's core 12-inch wafer manufacturing base in the North. It focuses on mature processes such as 55nm, 40nm, and 28nm (Polysion/HKMG) to serve fields where domestic alternatives are in high demand, such as new energy vehicles and industrial control. In terms of production capacity, SMIC North currently has two 300mm production lines with a monthly output of 35,000 sheets. They are the core plants with excellent production capacity and technology among SMIC's three 12-inch fabs in Beijing (SMIC Beijing, SMIC North, and SMIC Beijing), supporting the Group's overall production capacity expansion.
