JD Logistics (02618) plans to acquire JD Group's local instant delivery service business for US$270 million to strengthen “last mile” delivery capabilities

According to Zhitong Finance App, JD Logistics (02618) issued an announcement. On October 8, 2025, the company (as the buyer) signed a business transfer agreement with JD.com (as the seller). Based on this, the group agreed to acquire and the JD Group agreed to transfer the target business, with a total consideration of about US$270 million. Target businesses include JD.com's wholly-owned subsidiaries engaged in the local instant delivery service business, namely Dajiang and Dasheng.

With the new development of the JD Group's local instant delivery service business, the Group has recruited full-time riders to participate in such delivery services. Based on the performance of the target business over the past few months, the company believes that the target business has commercial potential and opportunities to further expand the business. Therefore, after carefully considering the following factors, the board of directors decided to acquire the target business from JD Group: (i) The acquisition will expand the Group's solutions and service portfolio to complement its existing product matrix and business layout. At the same time, the acquisition will help the Group consolidate product competitiveness, explore new business opportunities, and drive business growth; (ii) it is expected that the acquisition will also enhance the Group's “last mile” distribution capabilities. With the integration of target businesses, the Group's “last mile” distribution capabilities will be more extensive and comprehensive, so that the Group can better integrate resources to enhance its performance, operational efficiency and user experience; (iii) the acquisition is in line with the Group's overall strategy for sustainable growth and profitability. Therefore, the board of directors believes that the acquisition will benefit the overall development of the Group, an important step in achieving the Group's strategy to create greater value, and will further strengthen its leading position in the industry.
