Sanan Optoelectronics (600703.SH) plans to join Inari to acquire 100% of Lumileds Holding B.V., with a transaction consideration of US$239 million

Zhitong Finance App News, San'an Optoelectronics (600703.SH) announced that the company plans to jointly acquire 100% of Lumileds Holding B.V. (“Inari”) with overseas investor Inari Amertron Berhad (“Inari”) for US$239 million in cash. Meanwhile, the company and Inari plan to jointly invest US$280 million (“Hong Kong SPV”) through their respective subsidiaries to establish a joint venture in Hong Kong (“Hong Kong SPV”) in accordance with the investment ratios of 74.5% and 25.5% to pay Lumileds Subholding B.V., the consideration of this transaction, various transaction fees, and supplementary working capital. The two parties will sign the “Cooperation Agreement” and its annexes. After the transaction is completed, the company will indirectly hold 74.5% of the underlying company's shares and include them in the scope of the consolidated statement.

The target company focuses on the production and sale of high-end LED products in the fields of automotive headlights, camera flashes, and special lighting. Through this acquisition, the company and the target company will form complementary products. The target company has mature production bases and teams in Singapore and Malaysia. Through this acquisition, the company can obtain high-quality overseas production bases and improve the global supply chain layout.
