Hengerda announced that the company signed an “Asset Purchase Agreement” with German grinding machine company SMS Maschinenbau GmbH to acquire the high-precision CNC grinding machine business under SMS in cash and undertake related assets. The transaction consideration is 8.5 million euros, or approximately RMB 69.3566 million. The source of the acquisition capital is Hengda's own or self-funded capital, and does not involve issuing shares or supporting capital raised. After the transaction is completed, the company will undertake tangible assets and intellectual property rights under the name of SMS through the German SPV company, as well as the rights and obligations of employees and specific contracts. The transaction was reviewed and approved by the fourth meeting of the third board of directors of the company, and there is no need to submit it to the company's shareholders' meeting for consideration
