New Mileage (002219.SZ) plans to acquire 100% of Chongqing Xinmileage's shares for 320 million yuan

According to Zhitong Finance App, Xinmileage (002219.SZ) announced that the company signed an “Equity Transfer Agreement” in Beijing on October 16, 2024 to use its own funds or self-financing to acquire 100% of its shares in Chongqing Xinmileage Medical Management Co., Ltd. (hereinafter referred to as the “Target Company” or “Chongqing New Mileage”) at a purchase price of RMB 320 million.

According to the announcement, the target company is the starting point for Xinmileage Group to officially launch high-quality asset injection. It is an important carrying platform for the company in the southwest region. It collaborates with the company's Chongzhou No. 2 Hospital and other medical institutions to further enhance the core competitiveness of the company's regional medical center in Sichuan and Chongqing. The target company is also an important practical platform for the new integrated medical care system of “prevention, control, and rehabilitation”, “medical+insurance”, “healthcare+insurance” integrated innovation, and managed medical care. The total number of beds in the target company exceeds 1,000, and its hospitals have constructed a new development pattern integrating “geriatric hospital+geriatric care center+day care+home care”. In 2022, the hospital under the target company passed the review by the Chinese Geriatrics Society and was listed as a “National Age-Friendly Hospital” and “Geriatric Nutrition Demonstration Ward”, and was rated as an age-friendly medical institution by the Chongqing Municipal Health and Health Commission. The target company also collaborated with the “Doctor Ding Ling” platform under Xinmileage Group to implement online/offline health management and health insurance benefits, and launched specific oncological disease health management/service plans for all cancer patients, explore surgical accident insurance for the digestive tract, practice managed medical treatment with Chinese characteristics, and provide a “Chongqing sample” to cope with the aging population.
