LITE Stock Alert: What to Know About Marvell's $115 Billion Deal to Buy Lumentum

Barchart · 1d ago

Lumentum (LITE) shares are in focus on Nov. 2 after Marvell Technology (MRVL) said it’s buying the optical components specialist in an $115 billion all-stock transaction. Investors will receive 4.5 MRVL shares for each LITE share, with the acquisition expected to close in the first half of 2028.

While Lumentum stock has been nothing short of a blockbuster investment in 2026, it is currently down about 35% versus its year-to-date high in early October.

Why Is Marvell Paying a Premium for Lumentum?

Marvell’s offer values LITE shares at about $1,132 each, representing a nearly 35% premium on their previous close.

The strategic logic centers on a bottleneck: powerful artificial intelligence (AI) processors require faster connections to exchange increasingly enormous volumes of data.

Lumentum’s lasers and optical technologies complement Marvell’s networking and semiconductor capabilities. Combining them could help customers design more efficient systems and bring them to market faster.

In the press release, management estimated an addressable market of $550 billion, more than $1 billion in annual cost synergies, and adjusted earnings accretion in the very first year after closing.

Is It Too Late to Invest in LITE Shares?

Buying Lumentum shares now increasingly means underwriting MRVL’s prospects, alongside the possibility that the announced transaction fails.

Importantly, the $1,132-a-share headline figure is not a guaranteed cash payout. Since the exchange ratio is fixed, the overall valuation of this deal shifts with Marvell’s share price. A 10% decline in MRVL stock, for example, would reduce the buyout price by 10%, all else equal.

It's also worth mentioning that shareholder and regulatory approvals are yet to be secured, with closing targeted for 2028.

Investors must therefore compare LITE’s price with 4.5 times Marvell’s prevailing price and weigh the remaining spread against the wait and completion risk.

What’s the Consensus Rating on Lumentum Stock?

Heading into Nov. 2, Wall Street had a consensus “Strong Buy” rating on LITE stock, with a mean price target of about $1,172.

This means that Marvell Technology has roughly matched the price at which analysts on average believed Lumentum would be fairly valued.
