Key Points

  • DoorDash announced a pending acquisition of grocery delivery platform Instacart.

  • U.S. restaurant marketplace sequential growth accelerated from Q2 to Q3.

  • Management targets $500 million in net annual synergies by year 3.

On its third-quarter 2026 earnings call, held on Oct. 29, 2026, DoorDash (NASDAQ:DASH) announced a pending acquisition of online grocery platform Instacart (NASDAQ:CART). The proposed deal signals an aggressive expansion beyond restaurant delivery into grocery fulfillment. Scaling order volume across both platforms is intended to increase last-mile delivery density. Three things management said stand out.

1. Synergy Realization Requires Strategic Reinvestment Before Profit Extraction

Combining two massive delivery networks creates immediate top-line cross-selling opportunities and long-term operating efficiencies. Management plans to funnel early savings directly into product enhancements rather than near-term margin expansion.

The key for us, however, is how do you take some of the profit dollars and reinvest that back in the business to ultimately build a better product for consumers as well as grocers.

2. Core Restaurant Marketplace Growth Is Accelerating Through Platform Upgrades

Growth in the flagship restaurant marketplace is driven by an expanding selection and rising engagement with DashPass, the company's monthly membership program. Rather than slowing on larger comparisons, quarterly order momentum reached a multiyear high.

In fact, when you look at the sequential growth rate in Q3, it's the fastest we've seen in the last 5-plus years.

3. Direct Inventory Control Solves Last-Mile Quality Issues in Grocery Delivery

Fulfilling orders through DashMarts, the company's proprietary micro-warehouses, eliminates retail stockouts and produces superior order accuracy compared to third-party merchant locations. Controlling inventory gives DoorDash a distinct reliability advantage as delivery outside restaurants scales.

As part of that journey, we recognized that in order to offer the best possible service at the most affordable prices, we really needed to manage the inventory because stockouts were a key issue.

Looking Ahead

Core restaurant ordering and international delivery continue to accelerate across major markets. Continuous upgrades in platform selection are expanding user engagement.

Overall paid subscribers continue to set all-time records.
-- Ravi Inukonda, Chief Financial Officer

To lock in structural cost advantages, DoorDash is expanding its merchant tools and local warehouse network while maintaining strict pricing discipline across all fulfillment channels.

That's about merchant software. That's about building new fulfillment models, so some of the warehousing that you're discussing. And of course, it's always about making sure that we have the highest quality and most affordable logistics network.
