Interpretation of US IPOs | From HK$12 million to HK$59.6 million, hitting the asset-light transition and growth ceiling of holdings

Established on February 14, 2022, Hong Kong Touch Co., Ltd. began impacting the US stock IPO in less than four years.

The Zhitong Finance App discovered that “Touch Holdings”, the holding company of Hong Kong Touch Limited, submitted a public prospectus (F-1 document) for the first time on August 7 after secretly submitting a statement to the SEC on January 16, 2026, to accelerate the company's listing process.

According to the prospectus, Touch Holdings is a one-stop interior decoration project management service provider. The company plans to issue 6.25 million Class A common shares in this IPO at an issue price of 4 US dollars per share, raising up to 25 million US dollars. It is just at the minimum threshold of the new NASDAQ Chinese enterprise fund-raising regulations, and the stock code has not yet been announced.

Judging from the performance, Touch Holdings has achieved explosive growth. For the 2024 and 2025 fiscal years (12 months ended August 31), the company's revenue was 12.028 million and 59.5974 million (HKD, same below), respectively, and net profit for the period was 2,926,500 and HK$7.6411 million, respectively.

Although Touchdown is in a traditional field such as interior decoration, can it be favored by market capital due to its explosive growth in performance?

End-to-end full hosting, high two-wheel drive performance in the public and private sectors

Touch Holdings is not a decoration company in the traditional sense, but a project management service provider focusing on interior decoration projects using Hong Kong as its market. Unlike traditional decoration companies with maintenance and construction teams, Touch Holdings mainly handles project management for decoration services to achieve end-to-end hosting of the entire process.

The specific logic is that when the company has a decoration project, the internal team will intervene from early planning, first confirm the requirements and usage scenarios with the customer, and then coordinate the designers and architects to implement the plan; after the plan is determined, the company is responsible for screening and dispatching the reviewed subcontractors, coordinating the pace of material procurement and entry, and supervising, inspecting, and controlling the nodes at the construction site.

Under this model, the three lines of progress, quality, and cost are always controlled by Touch Holdings project managers, and customers basically no longer need to connect with different construction parties or suppliers separately. The essence of this model is to use “management ability” rather than “artificial production capacity” as the company's core asset.

It is worth noting that the project managed by Touch Holdings is not a part of the renovation, but rather includes the entire process and category of services, including mechanical, electrical, hardware, and software. Among them, electromechanics include

HVAC, fire, electrical installation, water supply and drainage, and details such as switches and sockets, telephone and network cabling; hardware includes partition construction, paint, wallpaper, and wall and floor coverings such as wooden floors, carpet tiles, marble, and mirror panels; soft decoration and fixtures include curtains, lamps, cabinets, wardrobes, kitchen countertops, sinks, bathtubs, desks, etc.

From a customer perspective, TouchUp Holdings covers both the public sector and the private sector. Among them, the private sector includes the office space of financial institutions, office buildings in various industries, commercial buildings, retail stores, restaurants, and high-end residences; the public sector is more involved in projects related to government and public institutions, usually through indirect participation through general contractors.

Meanwhile, Touch Holdings' revenue for fiscal year 2025 soared by 396.53% from HK$12.28 million to HK$595.97 million, thanks to the simultaneous explosion of two major business lines, public and private. Among them, the public sector entered government and public sector projects through general contractors, and completed large-scale projects during the reporting period. The scale of a single contract increased significantly. This led to a sharp rise in public sector revenue from about HK$7.082,700 in the previous fiscal year to HK$384.603 million, an increase of 443%.

At the same time, the number of private sector projects increased from 25 to 31. The increase in the number of projects and the expansion of the scale of projects led to a sharp increase of 329.6% in revenue from HK$4.9201 million to HK$21.371 million.

With the revenue side surging nearly fourfold, although the return to normalization of gross margin during the reporting period fell by more than 10 percentage points from 34.2% to 24.1%, and a sharp increase of 404.9% in general and administrative expenses suppressed profit release to a certain extent, the net profit of Touchholdings' 2025 fiscal year still surged 161.1% to HK$7.6411 million, showing an impressive increase in both revenue and profit.

The asset-light model realizes short-term flexibility, and delivery barriers open up long-term space

From an industry perspective, the interior decoration and renovation industry in Hong Kong is a market where “demand continues to expand, but the threshold for profit rises rapidly”. On the demand side, there is public infrastructure support. The Construction Industry Council predicts that the total construction volume will rise steadily from HK$270 billion to HK$315 billion in 2025/26 to HK$305 billion to HK$360 billion in 2030/31.

At the same time, the northern metropolitan area, public housing, new railways, university towns, and community facilities will continue to release hardcover, electromechanical, and renovation orders for public buildings and commercial facilities; moreover, the “Simple Housing Regulations” will continue to release hardcover, mechanical, electrical, and renovation orders; moreover, the five-year renovation cycle of the “Simple Housing Regulations” will also keep the stock market rigid.

However, demand amplification does not mean that it is easy to make money, and deep supply-side conflicts continue to suppress industry returns. There is a structural shortage of skilled local workers and professionals with legal signing qualifications, making it difficult to fill the gap for core compliance positions; at the same time, mainland assembly companies are leveraging the Bay Area supply chain and prefabricated cost advantages to speed up entry into Hong Kong, further intensifying price competition. Under double pressure, the gross margin of the industry has been under pressure for a long time. The gross margin of peers has been hovering between a few points and ten points for a long time, and old low-price bidders that lack the ability to integrate design and manage premiums have been gradually eliminated.

In such a challenging market environment, Touch Holdings has achieved high performance growth and a gross margin level that far exceeds that of its peers. This shows that the asset-light operating model of the company positioned as a project management service provider focusing on interior decoration projects has advantages at specific stages of development.

In the early stages of growth, relying only on small-scale teams, Touch Holdings was able to expand its undertaking capacity through an “internal project manager+outsourced subcontractor network”. The company focused on quotation, design docking, subcontract scheduling, on-site control and inspection, and outsourced all heavy physical construction to cooperative subcontractors.

The advantage of this model is that the marginal cost of expanding the company over a period of time is low, and there is no need to raise a proportional number of workers to take on more projects. This is the key reason why the company's performance can explode and the gross margin exceeds 20%. The moat comes from management experience, customer trust, and local execution networks, rather than heavy assets or technical barriers.

However, the asset-light business model of Touchow Holdings has yet to break the customer dependency, with the largest customer accounting for 77.5% of revenue in FY2025. In order to upgrade “customer trust” from a single point of dependency to a replicable network effect, Touch Holdings first focused the capital raised by the listing on broadening the customer base and seizing market share.

Touch Holdings will clearly strengthen sales and marketing, and extend the customer pool from a single financial institution to retail chains, office owners, and public sector framework agreements. This urgent task directly corresponds to the arrangement of 20% of IPO fundraising for brand promotion and 25% to supplement liquidity — the former addresses customer acquisition and brand trust issues, while the latter provides advance funding ammunition to undertake large-scale projects, supporting it to replicate proven large-scale project management capabilities to a wider range of public and private sector customers.

But before the business can scale up, the management radius must keep up. Touch Holdings plans to introduce intelligent AI tools to optimize operations and improve the efficiency of project scheduling, cost estimation, on-site collaboration, and supplier management through digital means. This is where 10% of the capital raised will be used for the digital system. At the same time, 15% of the capital raised will be used to expand the project manager and engineering team to ease the current production capacity bottleneck of the core team. The combination of the two aims to keep the asset-light model from getting out of control during scale expansion, and further exploiting the marginal cost advantage of “small teams leveraging big projects”.

However, in the medium to long term, Touchup Holdings is not satisfied with being a “pure manager”; 30% of its planned capital is used for upstream and downstream strategic investments and mergers and acquisitions. By acquiring or investing in small companies involved in building material supply, design, soft decoration, and construction collaboration, Touch Holdings is trying to evolve from a simple “project manager” to a “delivery platform.”

The logic behind this is that although the marginal cost of expanding the pure asset model is low, as the scale of the project crosses the critical point, management radius bottlenecks and the risk of outsourcing dependency will gradually become apparent, and the profit release space leveraged by simply relying on a “small team+subcontract network” will tend to narrow. At that time, only by enhancing bargaining power in the supply chain through mergers and acquisitions and making up for hard shortcomings such as design integration and local compliance, can front and back end collaboration be used to open up the ceiling for profit growth while building delivery barriers. However, the current revenue scale of Touch Holdings is still limited, and there is still uncertainty about whether the merger and acquisition targets can be successfully integrated and whether platform-based evolution can be implemented during the critical window period, and the market is waiting to see.
