DRB-Hicom finalises US$110.62mil Spirit AeroSystems Malaysia buy

KUALA LUMPUR: DRB-Hicom Bhd has finalised the estimated purchase consideration for its planned acquisition of Spirit AeroSystems Malaysia Sdn Bhd, valuing the deal at US$110.62mil (RM454.87mil).

On Aug 11, the group announced its intention to acquire Spirit MY for a price to be determined based on an enterprise value of US$95.2mil.

In a filing with Bursa Malaysia, DRB-Hicom said the final estimate was determined in accordance with the sale and purchase agreement.

The acquisition will be undertaken via its wholly owned subsidiary, Composites Technology Research Malaysia Sdn Bhd (CTRM), and will be fully funded in cash.

The purchase price reflects the enterprise value of US$95.2mil, adjusted for US$16.94mil in cash and US$1.52mil in indebtedness at Spirit AeroSystems Malaysia as at Dec 4, 2025. No adjustment was required for net working capital, which was in line with the target level.

DRB-Hicom had earlier highlighted the deal as a strategic move to strengthen its aerospace capabilities through CTRM. A series of announcements and a shareholder circular issued between August and November 2025 detailed the rationale and terms.

Upon completion of the acquisition, Spirit MY will become a wholly owned direct subsidiary of CTRM.
