SolarBank Corporation Files New C$200 Million Shelf Prospectus In Canada And U.S., Replacing 2023 Version, Pending SEC Approval

SolarBank Corporation (NASDAQ:SUUN) (Cboe CA: SUNN) (FSE: GY2) ("SolarBank" or the "Company") announced today that it has filed a final short form base shelf prospectus (the "Shelf Prospectus") with the securities regulatory authorities in each of the provinces of Canada. The Shelf Prospectus replaces the Company's prior final short form base shelf prospectus dated May 2, 2023 which would have expired in June 2025. A corresponding shelf registration statement on Form F-10 (the "Registration Statement") has been filed with the United States Securities and Exchange Commission but is not yet effective.

The Shelf Prospectus will enable the Company to make offerings of up to C$200 million of common shares, debt securities, warrants, subscription receipts, units and share purchase contracts or a combination thereof of the Company from time to time, separately or together, in amounts, at prices and on terms to be determined based on market conditions at the time of the offering and as set out in an accompanying prospectus supplement, during the 25-month period that the Shelf Prospectus remains valid.
