The two sides will jointly establish a joint venture to manufacture, operate and sell products such as liquid lithium hexafluorophosphate and electrolytes. The first joint venture is Texas Tianci, and Delaware Tianci will transfer 49% of its shares to Honeywell. The consideration for the transfer is estimated at US$16.66 million. The second joint venture is AEM. Delaware Tianci will subscribe for its additional shares, and the transaction consideration will be determined through separate negotiations. Honeywell holds 51% and Delaware Tianci holds 49%. AEM will build a project with an annual output of 100,000 tons of liquid lithium hexafluorophosphate, with an estimated total investment of 400 million US dollars.
